Major capital deposits and equity investments in 2014

Linia tramwajowa na Bielany w ToruniuOn 7 April 2014, a Deed of Association of Budimex F Sp. z o.o. was signed. The share capital of the new company amounts to PLN 75 thousand (1,500 shares with a nominal value of PLN 50) and was taken up in full by Budimex PPP SA. The company was entered in the National Court Register on 16 May 2014.

On 7 April 2014, a Deed of Association of Budimex G Sp. z o.o. was signed. The share capital of the new company amounts to PLN 75 thousand (1,500 shares with a nominal value of PLN 50) and was taken up in full by Budimex PPP SA. The company was entered in the National Court Register on 19 May 2014.

On 28 April 2014, Budimex B Sp. z o.o. (a wholly-owned subsidiary of Budimex SA) paid the amount of PLN 238,600 thousand to Budimex SA in connection with the registration of a decrease of share that company’s share capital to PLN 75 thousand.

On 4 December 2014, the company deed of Budimex SA – Técnicas Reunidas SA – Turów Spółka Cywilna was signed. The company was established for the purpose and duration of performance of the investment task entitled “Construction of a new power unit at Turów power plant”. Each of the partners, i.e. Budimex SA and Técnicas Reunidas SA, hold 50% of shares.

On 10 December 2014, the Extraordinary General Meeting of Shareholders of FBSerwis SA (an associate of Budimex SA) resolved to increase the company’s share capital by PLN 20,000 thousand, i.e. from PLN 19,600 thousand to PLN 39,600 thousand. All new shares were acquired by existing shareholders, i.e. Ferrovial Servicios SA — 408 shares with the nominal value of PLN 500 per share, for the total amount of PLN 10,200 thousand and Budimex SA — 392 shares with the nominal value of PLN 500 per share, for the total amount of PLN 9,800 thousand.

On 18 December 2014, Budimex Budownictwo Sp. z o.o. signed an agreement with the State Treasury for the purchase of 2,650,000 shares in Elektromontaż – Poznań SA, for the total price of PLN 14,529 thousand. Thus, the share of the Budimex Group in the share capital and votes at the General Meeting of Shareholders increased from 50.66% to 92.31%.

S 17Bogucin DąbrowicaOn 15 September 2014, Budimex SA signed an annex to a short-term borrowing agreement with FBSerwis SA (an associate of Budimex SA) which was concluded on 24 September 2013. In accordance with the above annex, the borrowing repayment date was extended to 24 September 2015. Budimex SA granted FBSerwis a borrowing up to the amount of PLN 19,600 thousand. In accordance with the agreement, the interest rate for the borrowing was at the level of 3M WIBOR + margin. As at 31 December 2014, the disbursed amount of the borrowing was PLN 18,988 thousand.

On 1 December 2014, an agreement concerning a borrowing granted in 2004 to Budimex SA by Ferrovial Infraestructuras SA (currently Cintra Infraestructuras SA) was extended, and the interest due for the period from 1 December 2013 was capitalised. Therefore, the amount of the loan increased by EUR 22 thousand to EUR 2,034 thousand. The loan repayment date is 1 December 2015.
